Terms of Service

By creating an account or using TucAway (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and VerityNHD, Inc. dba TucAway.

TucAway provides commercial registered agent representation, receipt and scanning of documents delivered to your registered agent address, and a digital depository dashboard where you can access those documents.

You must be at least 18 years old and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Plans are sold on an annual subscription basis, billed through Stripe. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. You may cancel at any time; cancellation stops future renewals but does not entitle you to a prorated refund of the current term, and any unused credits or retention time do not carry over.

TucAway accepts service of process, tax notices, and other government correspondence on your behalf at the registered agent address we provide. TucAway is not a law firm and does not provide legal advice. Filing state changes to update your registered agent of record is your responsibility, though we can assist on request.

Documents received at your registered agent address are scanned, digitized, and posted to your dashboard. Retention length matches your active plan. TucAway does not review the content of documents except as strictly necessary to deliver the Service, comply with law, or protect the safety of any person.

Partners with API access must protect their credentials, respect rate limits, and use the integration only for their own entities or for entities they are authorized to represent. TucAway may suspend integrations that abuse the API or endanger the Service.

You agree not to use the Service to violate any law, form or maintain a fraudulent entity, evade lawful service of process, or interfere with the Service or other users. We may suspend or terminate accounts that violate this section.

TucAway, the TucAway logo, and the software behind the Service are the property of VerityNHD, Inc. Your documents and business content remain yours; you grant TucAway a limited license to process, store, and display them solely to provide the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT USING TUCAWAY WILL RESULT IN LEGAL, TAX, OR REGULATORY COMPLIANCE. TUCAWAY IS NOT A LAW FIRM.

To the fullest extent permitted by law, TucAway's total liability arising out of or related to the Service is limited to the fees you paid to TucAway in the 12 months preceding the claim. TucAway is not liable for indirect, incidental, consequential, special, or punitive damages. Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be limited by law.

You agree to indemnify and hold harmless VerityNHD, Inc., its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of California. Any dispute will be resolved by binding arbitration administered by JAMS in Orange County, California, under its Streamlined Arbitration Rules. You may opt out of arbitration by emailing legal@tucaway.com within 30 days of first accepting these Terms. Class actions and class arbitrations are waived. Either party may bring qualifying claims in small claims court.

Either party may terminate the Service at any time. On termination, you have a 30-day window to download your stored documents. After that period, documents may be permanently deleted.

These Terms are the entire agreement between you and TucAway regarding the Service. If any provision is unenforceable, the remaining provisions stay in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; TucAway may assign these Terms to an affiliate or successor. Neither party is liable for delays caused by events beyond reasonable control. We will provide at least 30 days' notice of material changes to these Terms.
